  1. Terms and Conditions of Sale
  2. 1.1 Company refers to Dattatray Corporation, owner of the brand Vamsa Agri.

    1.2 Buyer refers to any individual, entity, or company purchasing the Company's liner bags.

    1.3 Product refers to Vamsa Agri liner bags designed for fresh produce packaging.

    1.4 Agreement refers to these Terms and Conditions of Sale.

    1.5 Order refers to a confirmed request for Products by the Buyer.

  3. Scope of Agreement
  4. 2.1 The Company supplies liner bags that enhance the shelf life of fresh produce.

    2.2 The Company does not guarantee compliance with export regulations related to pesticide residues, fruit quality, size, packaging materials, or any other external factors.

    2.3 By purchasing the Product, the Buyer acknowledges and accepts these Terms and Conditions.

  5. Limitation of Liability
  6. 3.1 The Company's liability is strictly limited to the manufacturing quality of the liner bags.

    3.2 The Company is not responsible for:

    • The quality, size, pesticide content, or water content of any of the fresh produce packed inside the liner.
    • Packaging materials used, including boxes, LDPE pouches, or any other containment material.
    • Storage conditions, transportation, and export handling post-purchase.
    • Rejection of shipments by any importer, export authority, or third party for reasons unrelated to the manufacturing quality of the liner bag.
    • Any financial loss, claims, or damages exceeding the invoiced value of the liner bag purchase.
    • Failure of shelf-life enhancement due to improper precooling, temperature variations, or failure of the exporter to check for residues before dispatch.
  7. Disclaimer of Warranties
  8. 4.1 The Company warrants that its liner bags are manufactured as per industry standards and are free from defects.

    4.2 The Company makes no guarantees regarding:

    • Shelf life of produce.
    • Prevention of external contamination, chemical reactions, or product degradation due to factors beyond the liner bag’s functionality.
    • Compliance with importing country’s agricultural or food safety regulations.
    • Shelf life being affected due to failure in precooling, temperature variations, or exporter not testing residues before dispatch.

    4.3 The Buyer assumes all responsibility for ensuring compliance with export laws, importer regulations, and product suitability.

  9. Disclaimer of Warranties
  10. 5.1 The Buyer agrees to indemnify and hold the Company harmless from any legal claims, losses, penalties, or damages arising from:

    • The use or misuse of the liner bags.
    • The rejection of export shipments for any reason other than a proven defect in the liner bag itself.
    • Any third-party claims (including farmers, exporters, importers, or regulators).

    5.2 The Buyer acknowledges that the Company’s maximum liability is strictly limited to the invoice value of the purchased liner bags.

    5.3 The Buyer agrees that the Company's payment shall not be withheld for any issues related to improper precooling, temperature variations, or failure to conduct residue checks before dispatch.

  11. Control Sample Retention
  12. 6.1 The Buyer shall retain at least five (5) control samples from each batch for independent verification in case of false claims by the importer.

    6.2 Any claims without corresponding control sample verification shall be deemed invalid and not attributable to the Company.

  13. Purchase Confirmation & Acceptance
  14. 7.1 Every order placed with the Company implies acceptance of these Terms & Conditions.

    7.2 The Buyer is responsible for ensuring proper use and handling of the Product.

    7.3 The Company reserves the right to update these Terms & Conditions at any time.

  15. Dispute Resolution & Governing Law
  16. 8.1 Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Nashik, Maharashtra, India.

    8.2 Any disputes shall first be attempted to be resolved amicably through negotiation.

  17. Payment Terms & Indemnity
  18. 9.1 The Buyer agrees that payment shall not be withheld due to external factors unrelated to the manufacturing quality of the liner bags.

    9.2 The Buyer agrees to indemnify and hold the Company harmless against any claims, losses, or damages resulting from shipment rejection due to issues beyond the liner bag’s intended purpose.

  19. Force Majeure
  20. 10.1 The Company is not liable for any delay or failure to perform due to reasons beyond its control, including natural disasters, government actions, transportation failures, or trade restrictions.

  21. Notices & Communication
  22. 11.1 Any official communication regarding disputes or claims must be in writing and sent via registered post or email.

  23. Entire Agreement
  24. 12.1 This document constitutes the entire agreement between the Company and the Buyer, superseding any prior agreements or representations.
